Filing a Maryland LLC Amendment
When starting a business, your main goal is to grow your company, and as your organization expands, it's possible you will need to make changes to your state business registration. Some of the most common reasons to alter your Articles of Incorporation or Organization include:
- Changing your business's registered name.
- Getting a new business address.
- Altering the management structure of your company.
Generally, you will need to amend your registration in the state where you incorporated your business. If you have registered your business in other states, you will need to file Articles of Amendment in these states as well. If you want your amendments returned to you after processing, you need to pay a $5 fee. If you don't pay this fee when filing your amendments, SDAT will destroy your amendments after they have been processed.
You can visit the Maryland Business Database to view your Articles of Amendment online. You can also print your documents from this database. After they have been processed, your Articles of Amendment should appear on this database within 10 days. By filing an amendment, you can change your LLC's managers and members.
You can also use an amendment to change your Registered Agent. If you are naming a new Registered Agent, the agent must sign the document. You can file an SDAT Change of Resident Agent Form if naming a new agent is the only change you need to make. Filing this form only costs $25. Similarly, if you only want to change your principal business address, you can file a Change of Principal Office Form, which also costs $25.
