Hired as Instacart's first in-­house attorney to manage all legal issues. Structured and negotiated agreements with Instacart’s 90+ partners and vendors. Researched legal issues and worked closely with Product and Operations teams to develop creative solutions to unique compliance issues. Counseled on various 1099 and W2 issues along with internal policy generation.

Counseled the Board, Advisory Council, and Executive Committee on governance issues including board and officer elections, risk management, and bylaws interpretation. Managed outside counsel working on governance, employment, and planned giving.

Counseled and managed business teams’ high ­value non-­standard commercial agreements with Oracle’s Embedded Deal Management team. Drafted and modified contract clauses to comply with internal approvals and reflect negotiations outcomes.
