Negotiated and drafted all types of contracts, e.g., hardware & software, NDA, work-for-hire, RFP, brands, talent, music, publicity. Responsible for clearance and use of all intellectual property, all marketing materials, and advised on all other IP issues, except patents. Managed worldwide trademark portfolio including clearance, use, prosection (e.g., office actions, oppositions, litigation).

Advised all business units on trade and marketing practices. Negotiated and drafted contracts for marketing, R&D, sales, production and distribution units. In-house responsibility for drafting new pension plan assuring anti-cutback rule compliance. Member of and advisor to the Benefits committee. Advise and managed general corporate issues, e.g., corporate structure, due diligence.
