Louisiana Annual Report

In Louisiana, businesses and nonprofit organizations need to regularly update their information in order to file annual reports and register for state taxation. Limited liability companies and charities need to report their details every year to the Louisiana Secretary of State. Business owners are able to file their annual report online or via post.

Which Entities Need to Report

Every business needs to file an annual report. While the process is easy, you might want to seek advice from a professional business legal advisor, who can point out areas where you need to report changes and help you register online. There are different requirements for filing annual reports for various organization types.

The general rules are as follows:

  • The responsible agency is Louisiana Secretary of State – Commercial Division.
  • You need to locate and print your form from the geauxBIZ website.
  • You can file online or via mail.
  • The fee for filing the Louisiana annual report is $30. You need to pay an extra $5 to pay by credit card.
  • You need to file your annual report by the anniversary of your business registration.
  • There is no penalty fee, but if your report is three years late, your company might be dissolved.

Deadlines and Notifications

If your annual report is due, the Louisiana Secretary of State will not issue reminders. Until 2016, they used to send out postcard reminders, but today it is your responsibility to keep your information up to date. It is encouraged that you register online for the service at geauxBIZ.

Once you are registered with geauxBIZ, you can get email or text reminders about your obligations. The first reminder is generally sent out 30 days before the due date. You should keep a reminder on your calendar for each year, because if you miss three annual reports, you might end up losing your company.

How to File Your Annual Report in Louisiana

To file your Louisiana annual report online, you will need to locate your company on the geauxBIZ website. You will have to visit the Secretary of State's web search site and print your annual report for filing.

Once you have the information held on your business, you will have to update the following information:

  • Mailing address
  • Office address
  • Registered agent
  • LLC members

You have two methods of filing.

  • You can print the form and sign it, returning it back to the following address:
    Commercial Division

You will need to send a check for the filing fee along with your report.

  • You might also file your annual report online, using the geauxBIZ service. This method is only available if you have an existing account, and your business is registered. Find your business details, update them online, and pay your fee using your credit or debit card.

It is important to note that if you need to change the registered agent of the business, the new registered agent needs to sign the paper form.

Once you log in, you can view your details at the “My Businesses” link. Once you have filed your report, you can save a copy of it on your computer or print it from your account.
